RESIDIA TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the Residia platform operated by Residia AI, Inc.

By using the Platform, you agree to the following:

1. Platform Role

Residia provides a technology platform connecting property owners, landlords, tenants, homeowners, homeowners associations, property managers, and Vendors. Residia does not perform maintenance services and is not the contractor of record.

1A. Property Management Disclaimer

Residia is a technology platform and is not a property manager, property management company, real estate broker, fiduciary, contractor, maintenance provider, lender, bank, escrow company, or money transmitter.

Users remain solely responsible for decisions relating to property management, maintenance, tenant relations, legal compliance, rent collection, lease administration, and property operations.

2. Vendor Relationship

Vendors are independent contractors. Any service agreement is between the Customer and Vendor.

3. Payment Processing

All payments are processed via Stripe. Residia does not hold or escrow funds. Platform fees may be deducted prior to Vendor transfer.

3A. Rent Collection and Payment Services

Residia may facilitate rent collection, maintenance payments, contractor payments, and other transactions through third-party payment providers, including Stripe.

Residia does not guarantee rent collection, tenant payment performance, contractor performance, completion of services, or the availability of funds.

4. Deposits & Milestones

Deposits may be required for certain projects. Deposits are released to Vendor upon authorization. Residia does not guarantee completion.

5. Job Completion

Vendor marks job complete. Customer must approve within the Platform. Failure to respond within seven (7) days may result in automatic release of funds.

6. Disputes

Disputes are between the Customer and Vendor. Residia may facilitate communication but is not obligated to mediate.

7. Chargebacks

Stripe governs chargeback procedures. Residia is not liable for Vendor service disputes.

8. AI-Generated Reports and Recommendations

Residia may provide AI-generated inspection reports, maintenance recommendations, property condition assessments, lease compliance observations, maintenance categorizations, risk indicators, and other automated insights.

Such information is provided for informational purposes only and does not constitute legal, insurance, engineering, construction, financial, property management, or professional advice.

Residia does not guarantee the accuracy or completeness of AI-generated outputs. Users remain responsible for reviewing findings and making all property-related decisions.

9. AI-Assisted Maintenance and Troubleshooting

Residia may provide automated troubleshooting suggestions, maintenance guidance, issue categorization, and other AI-assisted support tools.

Such information is intended only to assist users and does not replace professional diagnosis, licensed contractor recommendations, emergency services, or qualified professional advice.

10. User Responsibilities

Users agree not to circumvent platform payments, misuse Vendor data, submit false information, or use the Platform in violation of applicable laws.

11. Inspection Media and User Content

Users may upload photographs, videos, leases, inspection records, maintenance requests, invoices, communications, and other content through the Platform.

Users retain ownership of submitted content but grant Residia a non-exclusive license to store, process, analyze, display, and utilize such content for purposes of operating, improving, securing, and supporting the Platform.

12. Limitation of Liability

Residia’s liability is limited to fees paid in the prior six (6) months. No indirect, incidental, consequential, special, or punitive damages shall be recoverable.

13. Governing Law & Arbitration

Governed by Delaware law. Disputes resolved by binding arbitration. Class action waiver applies.

14. Data Privacy

Residia shall not sell, rent, or lease personal data to third parties for marketing purposes. Information will be used exclusively to facilitate Platform services, including inspections, maintenance coordination, rent collection, vendor management, communications, and payment processing.

Residia employs commercially reasonable security measures to prevent unauthorized access or misuse of user data.

15. Entire Agreement

These Terms constitute the entire agreement regarding use of the Platform by property owners, landlords, tenants, homeowners, homeowners associations, property managers, Vendors, contractors, and all other users of the Platform.
