Terms and Conditions

1. Acceptance of Terms
By accessing or using the Residia platform (“Service”), provided by Residia, Inc. (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use the Service.


2. Eligibility
Users must be at least 18 years old and capable of entering into legally binding agreements. By using the Service, you affirm that you meet these requirements.


3. Account Registration
Users must register and maintain an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.


4. Services Provided
Residia offers a platform that includes:

  • Tidy check inspections via user‑submitted photos 
  • Maintenance coordination and technician scheduling
  • Rent collection (for eligible users)
  • AI‑powered property condition analysis
     

5. User Content and Data
a. Ownership: Users retain ownership of their submitted content but grant Residia a perpetual, royalty‑free license to use, analyze, store, and display such content for purposes of providing and improving the Service.
b. License: By submitting content, you grant Residia a non‑exclusive, royalty‑free, worldwide license to store, use, analyze, and display content for the purpose of providing the Service.
c. Privacy:

  • Data is stored on encrypted servers and shared only with parties directly involved (e.g., landlords, technicians).
  • AI‑generated reports are advisory and may contain inaccuracies.
  • You may request data deletion at any time by contacting support.
     

6. Payment Terms

a. Subscription Plans
Residia offers three subscription options:

  • Free via Rent Plan – Tenants pay the $5/month platform fee as part of their rent payment.
     
  • Standard Plan – $5 per unit per month, with an annual prepay option at $4 per unit per month.
     
  • Enterprise Plan – $15 per unit per month, with an annual prepay option at $13 per unit per month.
     

All plans include core features such as AI troubleshooting, property self-inspections, maintenance reporting, and priority access to Residia technicians. The Enterprise Plan additionally provides unlimited AI troubleshooting, white-labeling, preferred vendor access, and reduced rent collection fees.

b. Rent Payments
Property Managers and DIY Landlords using Residia for rent collection agree to a processing fee of 0.5% per transaction, in addition to any third-party payment processing fees.

c. Maintenance Payments
Technicians providing maintenance services through Residia are charged a 7% service fee on completed and paid invoices.

d. Billing & Invoicing

  • Subscription fees are billed monthly or annually depending on the chosen plan.
     
  • Rent and maintenance payments are processed at the time of transaction.
     
  • Users remain responsible for any applicable taxes or additional third-party processing costs.

7. Compliance & Legal Protections
a. Fair Use: You agree not to misuse the platform or violate any local, state, or federal laws.
b. Compliance with Landlord-Tenant Law: Residia is a facilitator only and does not assume liability for compliance with state-specific landlord-tenant statutes.
c. Disclaimer: Residia is not liable for damages resulting from missed or delayed maintenance, AI misclassification, or disputes between users.


8. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or misuse of the platform.


9. Dispute Resolution
Except where prohibited by local law, all disputes will be governed under the laws of the State of Delaware. Any legal action must be brought in the appropriate state or federal courts located in Delaware.


10. Changes to Terms
We reserve the right to change these Terms at any time. You will be notified of any material changes, and continued use of the Service constitutes acceptance.
